B2B PLATFORM REGULATIONS

1. These Regulations define the general conditions, rules and manner of sales conducted by VITAPRINT SP. Z O.O. located in Rzeszów (35-005), pl. Jana Kilińskiego 2, NIP: 5170375598, through the B2B platform vprintshop.eu (hereinafter referred to as the "B2B Platform"), as well as the principles of providing free electronic services by Vitaprint.

§ 1 Definitions

  1. Business days - days of the week from Monday to Friday excluding public holidays.
  2. Delivery - the act of delivering the Goods to the Customer through the Supplier
    • (a) courier company
    • b) Vitaprint's own transportation
  3. Password - a string of characters chosen by the Customer at Registration, securing access to the Customer's Account.
  4. Customer - the entity to whom Vitaprint provides electronic services or with whom it concludes a Sales Agreement.
  5. Materials - content and multimedia files made available on the Platform under license.
  6. Customer Account - an individual Customer panel launched after Registration.
  7. Entrepreneur - a natural person, legal entity or organizational unit conducting business or professional activity.
  8. Personal Collection Point - EuroPark Mielec SEZ, 3 Wojska Polskiego Street, 39-300 Mielec.
  9. Regulations - this document.
  10. Registration - the process of creating a Customer Account on the B2B Platform.
  11. Vendor - VITAPRINT SP. Z O.O., owner of the B2B Platform.
  12. Website ofthe B2B Platform - vprintshop.eu website.
  13. Goods - the product presented and sold on the Platform.
  14. Durable medium - a medium that allows storing information in an unchanged form.
  15. Sales contract - a contract concluded at a distance between the Customer and Vitaprint.

§ 2 General provisions and use of the Platform

  • All copyrights and intellectual property rights to the B2B Platform belong to Vitaprint.
  • The Platform supports popular browsers, supports Javascript and cookies; minimum screen resolution: 1024×768.
  • Users may disable cookies, which may hinder the use of the Platform.
  • An active e-mail box is required to place orders; an active phone number is also required for phone orders.
  • It is forbidden to publish unlawful content that violates good morals or the rights of others.
  • Vitaprint recommends the use of anti-virus software; it never asks you to disclose your Password.
  • It is forbidden to use the Platform to harm Vitaprint or other Customers.

§ 3 Registration

  1. In order to create a Customer Account, the Customer shall register free of charge.
  2. Registration is necessary to place orders on the B2B Platform.
  3. During Registration, the Customer fills out a form, establishes a Password and accepts the Terms and Conditions.
  4. The Customer may consent to the processing of data for marketing purposes; consent is voluntary and may be withdrawn.
  5. After registration, Vitaprint immediately confirms the Registration by email.

§ 4 Orders

  1. Prior to the first order, the Customer shall provide registration documents (e.g. KRS extract, NIP, REGON).
  2. The offer presented on the website is an invitation to the Customer to submit offers.
  3. Online orders can be placed 24/7, by phone during the hours indicated on the site.
  4. Online ordering is carried out by "Add to cart" and "I buy and pay"; the Customer is obliged to read the price of the Goods, the cost of Delivery and additional charges.
  5. Telephone orders are confirmed by Vitaprint with information on the total price of the Goods and Delivery.
  6. Confirmation of the offer is made on paper or on a Durable medium before the conclusion of the Sales Contract.
  7. Once the Contract is concluded, Vitaprint sends a confirmation of the terms and conditions of the Contract on a Durable medium.
  8. E-mail orders are placed to Vitaprint's address; Final confirmation of the offer content is sent immediately by e-mail.
  9. Acceptance of the order for execution is made by e-mail; upon its receipt, the Contract of Sale is concluded.

§ 5 Payment

  • Prices quoted on the Platform are net prices in PLN; VAT will be added.
  • Available forms of payment
    • (a) bank transfer before execution
    • b) bank transfer with personal collection at the Collection Point
    • c) transfer with deferred payment (trade credit)
    • d) payment card or Przelewy24
    • e) cash on delivery
  • Payment term for prepayment: 2 Business Days.
  • If payment is not made on time, Vitaprint will set an additional deadline and may then cancel the Contract.

§ 6 Delivery

  • Delivery shall be made within the territory of the EU and the UK.
  • Delivery date calculated in Business Days; stated on the website.
  • Once the Goods have been shipped, the Customer will receive an e-mail confirming the shipment.
  • If the Goods are not received, Vitaprint may charge the cost of re-shipping.
  • The Customer should inspect the shipment and write a report in case of damage.
  • Personal collection is possible at the Collection Point on working days by appointment.
  • VAT invoice is sent by e-mail in PDF format.
  • In case of absence, an advice note is left or an attempt to contact is made.

§ 7 Warranty for Entrepreneurs

  • Vitaprint shall be liable for the Goods free of defects for 3 months after Delivery.
  • The Entrepreneur may demand a price reduction, replacement of the Goods or removal of the defect.
  • Complaints of Goods and free services can be submitted in writing or electronically to biuro@vprintshop.eu.
  • Vitaprint will consider the complaint within 14 days of its receipt.

§ 8 Warranty

  • Goods may be covered by a manufacturer's/distributor's warranty.
  • Warranty information is available on the Platform website.

§ 9 Free of charge services

  • Vitaprint provides electronic services free of charge
    • (a) Contact form
    • b) Newsletter
    • c) Maintaining a Customer Account
  • Services available 24/7.
  • Changes in services will be communicated accordingly to changes in the Terms and Conditions.
  • Cancellation of Newsletter possible via link in message or e-mail.
  • Customer Account service consists of data management and order tracking.
  • Deletion of Customer Account on request can be done up to 14 days after notification.
  • Vitaprint may block access in case of violations or security threats.

§ 10 License

  • Vitaprint grants Customers a non-transferable, unlimited license to the Materials in the fields of:
    • (a) fixation, reproduction, modification
    • b) making available to the public
  • No possibility of sublicensing or sharing with third parties.
  • The license fee is included in the price of the Goods.

§ 11 Protection of personal data

The rules of personal data protection are defined in the Privacy Policy.

§ 12 Termination of contract

  • The Customer and Vitaprint may terminate the contract for electronic services at any time without giving reasons.
  • The Customer terminates the contract by sending a statement of intent.
  • Vitaprint terminates the agreement by sending a statement to the Customer's e-mail.

§ 13 Final provisions

  • Vitaprint's liability is limited to the actual losses incurred in case of intentional acts.
  • The Terms and Conditions can be fixed on a medium or downloaded from the website.
  • In case of a dispute, the parties will seek an amicable solution; applicable law: Polish.
  • Amendments to the Terms and Conditions shall come into force 7 days after publication; the Client shall be informed thereof by e-mail.
  • Contracts are concluded in Polish language.
  • Regulations are effective as of 01.01.2023.
